AGM Notice 2019

Date: Tuesday 22nd October 2019
Venue: Herbert Smith Freehills LLP, Exchange House, Primrose Street, London, EC2A 2EG
Timings: 5:45PM Registration, Start 6:00pm, Drinks Reception 7:00pm


Notice is hereby given that the Annual General Meeting for the Association will be held on Tuesday 22nd October 2019 for the purposes of transacting the following Association business:

AGM Business:

·         Receiving minutes from 2018
·         Receiving report by the outgoing Chair
·         Receiving report and accounts by the Hon. Treasurer
·         Announcement of the Election
·         Motion to change the Articles (see the proposition below)
·         Receiving address of incoming Chair
·         Any other business

Followed by the Tony Johnson Memorial Lecture, this year's paper will be delivered by Lord Carnwath.

A motion for consideration by the members

The Board has become aware of an issue with the current criteria for student membership in the Articles of Association. The current articles 21.7 states;

a)    “No person shall be eligible for admission as a Student Member of the Association unless the Committee is satisfied that the person:

(i)    has a substantial interest in the field of compulsory purchase and compensation; and

(ii)   is (as appropriate) a full or part-time student of any degree or other course or is in the course of completion of training for full membership of any of the organisations listed in either part of the Schedule hereto.”

These requirements would be met by any surveyor in full time employment undertaking their RICS APC or the equivalent for other disciplines. The Board does not believe this was the intention of the Articles.

The board therefore propose to replace (ii) above with the following amended text

(ii) “is in full time or part-time education (which shall include any sandwich year or work experience undertaken as part of a full time education course).”

EGM Rules and How to vote

  • Members attending the AGM will be able to vote on the motion.
  • Members not wishing to attend, but who wish to have a proxy vote can do so by downloading a form here, completing and returning it by fax or scanned email. Members are required to return the proxy form by Friday 18 October 2019 at 4pm.  
  • Articles can only be amended by a count at an AGM or EGM, with proxy voting available
  • A resolution will be accepted if 75% or more of those voting are in favour.
  • Only fully paid up members as of the 30 September 2019 are eligible to vote at the AGM or by proxy
